These Terms and Conditions (the “Agreement”) govern your access to and use of the website, digital products, services, applications, tools, and other offerings (collectively, the “Services”) provided by Critical Saas, a registered DBA of QG Solutions LLC, a California limited liability company (“Company,” “we,” “our,” or “us”), through its website located at
(“Site”).
By accessing or using the Site or Services in any capacity, you (“User,” “Customer,” or “you”) agree to be legally bound by this Agreement. If you do not agree to these Terms, you must immediately discontinue use of the Site and Services.
1. Use of Services
You represent and warrant that you are at least 18 years old and a resident of the United States. You agree to use the Services solely for lawful purposes and in accordance with this Agreement. You shall not access or use the Site or Services in any jurisdiction where such use is prohibited by applicable law.
2. Account Creation and Responsibilities
To access certain features of our SaaS platform, you may be required to register for an account. You agree to provide accurate and complete information during registration and to keep that information up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
We reserve the right to suspend or terminate your account, with or without notice, for any conduct that we, in our sole discretion, determine to be inappropriate, unlawful, or in violation of these Terms.
3. Services Overview
We provide the following services:
Website Design Services: One-time or milestone-based services, not subject to recurring billing.Software-as-a-Service (SaaS): Subscription-based software tools with optional free trials, subject to recurring billing cycles.
All services are subject to modification or discontinuation at our sole discretion, with or without prior notice.
4. Fees, Payment, and Subscriptions
All fees for SaaS subscriptions are due in advance, billed automatically on a recurring basis using the payment method on file. By subscribing, you expressly authorize us to charge applicable fees on a periodic basis as outlined at the time of checkout.
4.1 Free Trials
Where applicable, free trials are offered at our discretion. Upon expiration of the trial period, you will be charged the full subscription fee unless you cancel prior to the end of the trial.
4.2 Recurring Billing
Unless canceled, your subscription will auto-renew at the then-current rate. You are responsible for all charges incurred during the subscription period.
4.3 Cancellations and Refunds
Subscriptions may be canceled at any time through your account settings. All payments are non-refundable unless otherwise required by applicable law.
5. Intellectual Property Rights
All content, trademarks, code, software, design elements, logos, graphics, and other proprietary materials provided on or through the Site or Services are the exclusive property of QG Solutions LLC or its licensors and are protected under U.S. and international copyright, trademark, and other intellectual property laws.
You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Services solely for your own business or personal use in accordance with this Agreement. You may not copy, reproduce, reverse engineer, distribute, transmit, or exploit any portion of the Services without our prior written consent.
6. Prohibited Conduct
You agree not to:
Use the Services for any unlawful purpose or in violation of any local, state, or federal law;Interfere with the security or proper functioning of the Site;Attempt to gain unauthorized access to our systems or networks;Transmit any viruses or malicious code;Harvest or scrape data from the Site without authorization.
7. Limitation of Liability
To the maximum extent permitted by applicable law, QG Solutions LLC and its officers, directors, employees, affiliates, and agents shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from or relating to your use of or inability to use the Services.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no representation or warranty that the Services will be error-free, uninterrupted, or meet your expectations or requirements.
9. Indemnification
You agree to defend, indemnify, and hold harmless QG Solutions LLC, its affiliates, and their respective officers, directors, employees, contractors, and agents from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or in any way connected with your use of the Services or your violation of this Agreement.
10. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in Alameda County, California, and you consent to the personal jurisdiction of such courts.
11. Modifications
We reserve the right to update, modify, or revise these Terms at any time, with or without notice. Continued use of the Services following such changes constitutes your acceptance of the revised Terms
